Terms of Service

These Terms of Service ("Terms") govern your use of the website, client portal, and services provided by INFODM PRIVATE LIMITED ("INFODM," "we," "us," or "our"), a company registered and operating in Sri Lanka. By accessing our website at infodm.lk, creating an account, or purchasing any of our services, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must not use our website or services. We reserve the right to update or modify these Terms at any time. Changes will be effective upon posting to this page, and your continued use of our services constitutes acceptance of the revised Terms.
1. Definitions
- "Client" or "you" refers to any individual or entity that engages INFODM for services or creates an account on our platform.
- "Services" refers to all services offered by INFODM, including but not limited to web development, social media content management, AI services, and digital marketing.
- "Platform" refers to the INFODM website (infodm.lk), client portal, and any associated applications.
- "Deliverables" refers to the work products, content, or outputs produced by INFODM as part of a service engagement.
2. Service Agreement
By placing an order through our website or client portal, you enter into a binding service agreement with INFODM PRIVATE LIMITED. Each service engagement is subject to these Terms and any service-specific terms outlined in the relevant service description or proposal.
INFODM reserves the right to accept or decline any service request at our discretion. We will confirm acceptance of your order via email or through the client portal. A service engagement is considered active once payment has been received and the order has been confirmed.
3. Account Terms
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately at hello@infodm.lk if you suspect unauthorized access to your account.
- You may not use another person's account without their explicit permission.
- INFODM reserves the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.
- You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account.
4. Payment Terms
4.1 Payment Processing
All payments are processed through PayHere, a licensed payment gateway operating in Sri Lanka. We accept major credit cards, debit cards, and other payment methods supported by PayHere. By making a payment, you agree to PayHere's terms and conditions in addition to these Terms.
4.2 Pricing and Currency
All prices are displayed in Sri Lankan Rupees (LKR) unless otherwise stated. Prices are inclusive of applicable taxes unless explicitly noted. INFODM reserves the right to change pricing at any time, but price changes will not affect orders already confirmed and paid for.
4.3 Subscription and Recurring Billing
For subscription-based services, such as social media content management plans, billing occurs on a monthly cycle. Your subscription will automatically renew each month unless you cancel before the start of the next billing period. Cancellation requests must be submitted at least 5 business days before the next billing date.
4.4 Late Payments
If a payment fails or is overdue, INFODM reserves the right to suspend the delivery of services until the outstanding balance is settled. Repeated payment failures may result in service termination.
5. Intellectual Property
5.1 INFODM Intellectual Property
All content on the INFODM website, including text, graphics, logos, icons, images, and software, is the property of INFODM PRIVATE LIMITED or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.
5.2 Client Deliverables
Upon full payment for a service engagement, the client receives ownership of the final deliverables produced specifically for that engagement (e.g., a completed website, custom graphics, or content). This transfer of ownership does not include INFODM's proprietary tools, frameworks, templates, or code libraries that may have been used in the creation of the deliverables.
5.3 Third-Party Licenses
Deliverables may incorporate third-party software, plugins, themes, or assets (e.g., WordPress themes, stock images) that are subject to their own licensing terms. The client is responsible for complying with any third-party license agreements associated with the deliverables.
5.4 Portfolio Rights
Unless otherwise agreed in writing, INFODM retains the right to display completed work in our portfolio, case studies, and marketing materials for promotional purposes.
6. Client Responsibilities
To ensure successful delivery of services, the client agrees to:
- Provide all required project materials, content, data, credentials, and information in a timely manner as requested by INFODM.
- Respond to communications, feedback requests, and approval requests within reasonable timeframes.
- Ensure that all materials provided to INFODM do not infringe on the intellectual property rights of any third party.
- Provide accurate and truthful information about their business and requirements.
- Not use INFODM's services for any unlawful, fraudulent, or harmful purpose.
- Comply with all applicable laws and regulations in their use of the deliverables.
Delays caused by the client's failure to fulfill these responsibilities may result in extended timelines, and INFODM shall not be held liable for such delays. Client-caused delays do not constitute grounds for a refund (see our Return and Refund Policy).
7. Service-Specific Terms
7.1 Web Development (WordPress)
Website development services are offered at a fixed price for WordPress-based websites. The scope of work, deliverables, timeline, and pricing are defined at the time of order and confirmed upon payment. Key terms include:
- The fixed price covers the agreed-upon scope only. Additional features, pages, or functionality requested after the project has begun may incur additional charges.
- INFODM will deliver the website by the promised delivery date, provided the client has submitted all required project data and materials on time.
- The client receives up to two rounds of revisions within the project scope. Additional revisions may be billed separately.
- The client is responsible for ongoing hosting, domain renewal, and maintenance costs after project handover, unless a maintenance plan is separately purchased.
7.2 Social Media Content Management
Social media content management services, including content creation and scheduling for Facebook, are provided on a monthly subscription basis. Key terms include:
- Each subscription month begins on the billing date and covers content creation and management for that calendar month.
- The number of posts, content types, and platforms are defined by the selected plan.
- Content is subject to client approval before publishing. Failure to provide timely approval may result in delayed posting.
- Social media content subscriptions are non-refundable once the service month has begun.
- The client must grant INFODM the necessary access to their Facebook Business Page(s) for content management.
7.3 AI Services
AI services, including AI chatbot development and AI agent configuration, are scoped and priced on a per-project basis. Key terms include:
- The scope, features, and capabilities of the AI solution will be defined in the project proposal.
- AI outputs depend on the quality and completeness of the training data and information provided by the client.
- INFODM does not guarantee specific outcomes or performance metrics for AI-based solutions, as results depend on multiple factors including data quality and use case complexity.
7.4 Digital Marketing
Digital marketing services, including Meta (Facebook) Ad Campaigns and Google Ad Campaigns, are provided on either a project or retainer basis. Key terms include:
- Ad spend budgets are separate from INFODM's service fees and are paid directly to the advertising platform (Meta or Google).
- INFODM does not guarantee specific results such as impressions, clicks, conversions, or revenue, as advertising performance is influenced by market conditions, competition, and audience behavior.
- Campaign setup, management, and optimization are included as part of the service fee.
- The client is responsible for providing accurate business information, promotional offers, and creative direction.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- INFODM PRIVATE LIMITED, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services or website.
- Our total liability for any claim arising from a service engagement shall not exceed the total amount paid by the client for that specific service engagement.
- INFODM is not liable for any loss of revenue, data, goodwill, or other intangible losses resulting from the use or inability to use our services.
- INFODM is not responsible for disruptions, downtime, or errors caused by third-party services (e.g., hosting providers, payment gateways, advertising platforms, social media platforms).
- INFODM does not warrant that the website or services will be uninterrupted, error-free, or free from harmful components.
9. Indemnification
You agree to indemnify, defend, and hold harmless INFODM PRIVATE LIMITED, its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use of our services, or your violation of any applicable law or the rights of a third party.
10. Termination
10.1 Termination by Client
You may cancel a subscription service by providing notice at least 5 business days before the next billing date. For project-based services (e.g., web development), cancellation after work has commenced is subject to the terms outlined in our Return and Refund Policy. No refund will be issued for work already completed.
10.2 Termination by INFODM
INFODM reserves the right to suspend or terminate your access to our services and platform, without prior notice, if you:
- Breach any provision of these Terms.
- Fail to make payments when due.
- Engage in fraudulent, abusive, or illegal activity.
- Provide false or misleading information.
10.3 Effect of Termination
Upon termination, your right to use our platform and services ceases immediately. Any outstanding fees remain payable. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.
11. Disclaimers
Our services and website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. INFODM disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will meet your specific requirements, achieve particular business outcomes, or be available without interruption.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.
12.2 Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or any service engagement:
- Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.
- Mediation: If negotiation fails, the parties agree to attempt mediation before a mutually agreed mediator in Colombo, Sri Lanka.
- Litigation: If mediation fails, either party may submit the dispute to the exclusive jurisdiction of the courts of Sri Lanka, situated in Colombo.
13. Force Majeure
INFODM shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet outages, or failures of third-party service providers.
14. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
15. Entire Agreement
These Terms, together with our Privacy Policy and Return and Refund Policy, constitute the entire agreement between you and INFODM PRIVATE LIMITED regarding the use of our website and services, and supersede all prior agreements, understandings, and communications, whether written or oral.
